Appointment of Non-Executive Chairman

The Company also announces that James Dubois has today been appointed to the Board as independent Non-Executive Chairman. Mr Dubois is a Fellow of the Institute of Chartered Accountants and has recently resigned as the Managing Partner of Body Dubois, a firm of Chartered Accountants to which he remains a Consultant. He was Chairman of Honeygrove Group Plc, a residential house builder which was quoted on AIM, until it was taken-over. After more than twenty years in the role, he retired in December 2011 as a Non-Executive Director of Swarovski UK Ltd, the UK distributor of high quality branded Austrian glass products. He was a non-executive director of The Royal Automobile Club for a six year term from May 2000 and was chairman of the finance and audit committee, and has since then acted as Chairman of their staff pension scheme trustee company.

In accordance with the PLUS Rules for Issuers, the Company discloses the following details in respect of Mr Dubois.

Mr Dubois entered into an individual voluntary arrangement ("IVA") in 1990 in relation to personal guarantee liabilities in relation to bank loans for property transactions. This arrangement was satisfactorily completed and Mr Dubois was released from the IVA in 1993. Throughout this period he continued to run his accountancy practice regulated by the Institute of Chartered Accountants in England and Wales.

The following companies, which were principally special purpose vehicles formed for specific property development projects, were dissolved whilst Mr Dubois was a director:

Statement Regarding PLUS Markets Group Plc

The board of the Company (the "Board") has noted the announcement made by PLUS Markets Group plc on 14 May 2012 regarding its intentions to commence a process of orderly closure of the PLUS-quoted market over a period of up to six months.

The Board is mindful of the benefits of maintaining a stock market quotation and is consulting with its PLUS Corporate Adviser and Broker, SVS Securities Plc, in relation to the Company's options.
